Terms of Service

Article 1 (Purpose)

These Terms set forth the conditions and procedures for using the ListenTips anonymous reporting channel service ("Service") provided by HM Company Co., Ltd. ("Company"), and define the rights, obligations, and responsibilities of the Company and users.

Article 2 (Definitions)

  • "Service" means the SaaS-based anonymous reporting channel platform (ListenTips) provided by the Company.
  • "User" means a company, organization, or its members who use the Service in accordance with these Terms.
  • "Reporter" means a person who submits an anonymous report through the Service.
  • "Administrator" means a designated staff member with reporting management privileges of a company/organization.
  • "Subscription" means a contract under which a User uses the Service through recurring payments.
  • "Recurring Payment (Billing)" means a payment method in which the subscription fee is automatically charged at fixed intervals to the User's registered payment method.

Article 3 (Effect and Amendment of Terms)

  1. These Terms take effect upon being posted on the Service screen.
  2. The Company may amend these Terms within the limits permitted by law, and shall notify users at least 7 days before the effective date through site notice and the User's representative email.
  3. For amendments that are unfavorable or material to users, notice shall be given at least 30 days before the effective date.
  4. If the User does not express objection by the effective date, the User shall be deemed to have agreed to the amended Terms.

Article 4 (Service Contents)

  • Anonymous report intake and management system
  • Two-way communication between Reporters and Administrators
  • AI-based report content verification and analysis (optional)
  • Statistical dashboard and reports
  • Multilingual support (Korean, English, Japanese, Chinese)

Article 5 (Additional Services — Annual Subscription Only)

Annual subscribers receive the following additional services in addition to the Service:

  1. Digital Forensics (1 free per year)
    • Scope: Data collection, extraction, and review platform provided for one storage device
    • Additional storage devices or additional uses are provided separately for a fee upon agreement
  2. Corporate Fraud Investigation Consulting
    • Delivery: Provided via phone consultation
    • Scope: Consulting on report handling procedures, evidence preservation, and legal response direction
    • Per-session duration or total number of sessions will be advised individually upon request
  3. Internal Audit Training (1 hour per year)
    • Delivery: Provided as online lectures
    • Scope: Ethics management, internal reporting systems, compliance fundamentals
    • Additional hours are provided separately for a fee upon agreement
  4. The above additional services must be used within the annual subscription period; unused portions do not roll over to the next period.
  5. Applications for additional services should be submitted through ListenTips Customer Center (email: office@hmcom.co.kr). The Company will provide a detailed schedule within 7 business days from the application date.

Article 6 (Privacy Protection)

The Company makes its best efforts to ensure Reporter anonymity. IP addresses are converted via SHA-256 one-way hashing, and the Company does not store original IP addresses. Furthermore, the report page does not load external analytics or tracking scripts (Google Analytics, Vercel Analytics, etc.). However, solely to ensure service stability, when a screen error occurs, technical information needed for error diagnosis—such as the error message and where it occurred—may be collected through an error-monitoring tool, and such information is not used for advertising or analytics purposes. Matters concerning collection, use, retention, and destruction of personal information follow the Company's Privacy Policy.

Article 7 (Fees and Payment)

  1. Service fees follow the pricing policy set by the Company; changes will be announced in advance.
  2. A 30-day free trial is provided upon new sign-up. The trial does not automatically convert to a paid subscription; users must apply for a paid subscription separately.
  3. Payments are processed through Toss Payments.
  4. Users may request a tax invoice, and the Company will issue it in accordance with applicable laws.

Article 8 (Recurring Payment)

  1. Users may sign up for recurring payments by registering a payment method (credit/check card) and consenting to recurring payments at the time of subscription.
  2. Monthly subscriptions are automatically charged on each monthly billing date; annual subscriptions on each yearly billing date.
  3. When registering for recurring payments, the Company provides advance notice of the payment amount, billing cycle, and next billing date (mandatory disclosure under Article 13(6) of the E-Commerce Act).
  4. Payment method information is securely stored by Toss Payments. The Company only retains the billing key (payment identifier) and masked card information (issuer, last 4 digits).
  5. Users may cancel recurring payments or change payment methods at any time on the subscription page.

Article 9 (Subscription Renewal and Cancellation)

  1. Subscriptions are automatically renewed at each billing cycle unless recurring payment is cancelled.
  2. Users may request cancellation of recurring payments at any time on the subscription page.
  3. Upon cancellation, no further payments are made, and the User may continue to use the Service normally until the end of the current usage period.
  4. After the usage period ends, the subscription terminates automatically and Service access is restricted. Data is retained for a certain period under the Company's retention policy (see Privacy Policy).
  5. After cancellation, re-subscription with the same payment method is possible.

Article 10 (Refund)

  1. Monthly Subscription: After payment, no separate refund is provided upon cancellation. Recurring payments cease from the next month, and users may continue to use the Service until the end of the currently paid period.
  2. Refund Upon Mid-Term Cancellation of Annual Subscription: Refunds are calculated based on the monthly subscription rate (₩330,000/month, VAT included), deducting the months actually used from the total payment.
    • Refund Amount = Annual Payment (₩3,300,000, VAT included) − (₩330,000 × months used)
    • Months used are calculated from the billing start date to the cancellation request date, rounded up to the nearest month based on each monthly billing anniversary. Example: Annual payment on 2026-01-10, cancelled on 2026-05-05 → 4 anniversaries passed (2026-01-10 / 02-10 / 03-10 / 04-10) → counted as 4 months used → Refund 3,300,000 − 1,320,000 = ₩1,980,000.
    • If 10 or more months have been used, no refund is provided (the sum of monthly rates exceeds the annual rate).
  3. If the User cannot use the Service properly due to the Company's fault, the User may request a refund for the affected period.
  4. Refund processing may take 5 to 7 business days, with additional time depending on payment method policies.

Article 11 (Payment Failure and Service Suspension)

  1. If a recurring payment fails, the Company will retry once daily for up to 3 attempts starting the next day.
  2. On the 1st-2nd failures, the User is notified via email and may continue to use the Service.
  3. Upon 3 consecutive failures, the subscription is automatically cancelled and Service access is restricted.
  4. During the failure period, the User may immediately resume the Service by changing the payment method on the subscription page.
  5. Common failure reasons: limit exceeded, insufficient balance, card suspension/expiry, card issuer system maintenance, etc.

Article 12 (Service Changes and Discontinuation)

  1. The Company may change part or all of the Service for operational or technical reasons; changes will be announced in advance.
  2. If the Company discontinues the Service, notice will be given at least 30 days before the discontinuation date, and users will receive a refund for the unused portion of subscription fees.

Article 13 (Disclaimer)

The Company is exempt from liability for service provision when unable to provide the Service due to force majeure such as natural disasters, war, telecommunications service provider outages, or payment processor system failures. This does not apply to damages caused by the Company's intent or gross negligence.

Article 14 (Jurisdiction and Governing Law)

These Terms are interpreted under the laws of the Republic of Korea. In the event of disputes related to Service use, the competent court shall be the court with jurisdiction over the Company's principal office under the Civil Procedure Act.

Addendum

Articles 7 through 11 (Fees and Payment; Recurring Billing; Subscription Renewal and Termination; Refunds; Payment Failure and Service Suspension) apply from the time the Company's paid payment system is formally introduced. Until then, the Service is provided free of charge.
